Terms of Service

These Terms of Service ("Terms") govern your access to and use of Stock-Vitals (the "Service"), operated by Natan Corbin, a sole proprietor based in Wisconsin, USA ("we", "us", or "Stock-Vitals"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. The Service

Stock-Vitals is a web-based inventory-management tool for dental practices. It helps you track supplies, set reorder points, generate supplier-grouped order lists, and log usage by voice or text. Features may change over time as we improve the Service.

2. Eligibility and accounts

You must be at least 18 and authorized to act on behalf of your dental practice to use the Service. You are responsible for keeping your login credentials secure and for all activity that happens under your account. Please notify us promptly of any unauthorized use.

3. Free trial and billing

New practices may use the Service free for 30 days. Paid billing is not yet active. If and when we introduce paid plans, we will ask for your explicit, separate consent before charging you — we will not silently convert a free account into a paid one or charge a payment method without your clear agreement. You may cancel at any time.

4. Acceptable use

You agree not to:

• use the Service for any unlawful purpose;
• attempt to gain unauthorized access to the Service or to another practice's data;
• scrape, copy, or reverse-engineer the Service;
• interfere with, disrupt, or place undue load on the Service; or
• misuse the AI features, including by submitting prohibited or harmful content.

5. AI features

The Service uses third-party AI (Anthropic) to interpret voice/text check-ins and imports. AI output may be inaccurate or incomplete — always review it before relying on it. Do not submit patient information or other sensitive personal data to the AI features. Your use of these features is also subject to our Privacy Policy.

6. Your data

You own the inventory and practice data you put into the Service. You grant us the limited rights needed to host and process that data in order to provide the Service. We do not sell your data, and we do not use it to train AI models.

7. Our intellectual property

The Service — including its software, design, and content — is owned by Stock-Vitals and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your practice's internal business purposes.

8. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not guarantee that the Service will be uninterrupted or error-free, or that inventory data or AI output will be accurate. You are responsible for your own ordering and stocking decisions.

9. Limitation of liability

To the fullest extent permitted by law, Stock-Vitals will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the 12 months before the claim or US $100.

10. HIPAA

Stock-Vitals is not a HIPAA-covered service and is not designed to store, process, or transmit Protected Health Information (PHI). Please do not enter patient names, identifiers, clinical notes, or any individually identifiable health information into the Service. If your practice requires a Business Associate Agreement (BAA), contact us before using the Service.

11. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or use the Service in a way that could harm us or others. On termination, your right to use the Service ends; we will handle your data as described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to its conflict-of-laws rules. Any disputes will be resolved in the state or federal courts located in Wisconsin.

13. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Your continued use of the Service after changes take effect means you accept the updated Terms.
